Terms of Use
This page (together with the documents referred to on it) tells you the terms on which you may make use of our website www.globalsecuritychallenge.com and all other applications and websites operated by Security Challenge Ltd, trading under the name of Global Security Challenge (our “Sites”), whether as a guest or a registered member.
Please read these Terms of Use carefully before you start to use the Sites. By using our Sites, and/or registering as a “Member” you indicate that you accept these Terms of Use and that you agree to abide by them. If you do not agree to these Terms of Use, please refrain from using our Sites. You may access these Terms at any time by using the link to these Terms on the bottom of the Home page. We may revise these Terms at any time in accordance with Clause 22 below and your continued use of our Sites or your account with our Sites (an “Account”) shall be deemed irrevocable acceptance of those revisions.
1. Information About us
- The Sites are operated by Security Challenge Ltd. (“we”, "GSC", “us” and “our”). We are registered in England and Wales under company number 06985397 and have our registered office at 57 Gloucester Place, London W1U 8JJ, UK
2. Accessing our sites
- Access to our Sites is permitted on a temporary basis, and we reserve the right to withdraw or amend the service we provide on our Sites without notice (see below). We will not be liable if for any reason our Sites are unavailable at any time or for any period.
- We restrict access to certain parts of our Sites to users who have registered with us. If you register with us, you must provide true and accurate information about yourself. Should the registration information provided prove false or misleading, we may suspend or terminate your account.
- If you choose a password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any third party. We have the right to disable any account or password if, in our reasonable opinion, your account information has been compromised. You must tell us immediately if you suspect any unauthorised use of your account or access to your password. You are solely responsible for any and all use of your account.
3. Interactive Services
We provide certain interactive services through our Sites, including, without limitation:
- Competitions.
- Forums for discussion of issues of interest to the users of our Sites.
- Social networking services where users can create online personal profiles and interact with other members.
- Any use of our interactive services should comply with our content standards below.
- We do not actively oversee, monitor or moderate the content that you upload to our Sites and neither do we actively vet or screen users of our Sites. You use the Sites at your own risk and you should take care with the information you post on our Sites or that you provide to other users.
4. Third Party Services
- We may from time to time make available through our Sites certain services provided by third parties.
- Please note that these services are not provided by us but third parties. To gain access to these services, you must register with these third parties and deal with them direct. We have no control over the contents of those third party sites or the performance of these services. Accordingly, you use these services at your own risk and we accept no responsibility for them or for any loss or damage that may arise from your use of them.
5. Registration and membership
- To become a Member, you must register for the Sites and establish an Account with us. By registering and establishing an Account with us you expressly confirm that:
- you are able to enter into a legally binding agreement with us;
- you will not use the Competitions while you are located in a country or jurisdiction that does not allow you to participate in the Competitions;
- you allow us to communicate with you in regular emails and newsletters;
- you will not use the Sites for any purpose that is unlawful or prohibited by these Terms; and
- It is your responsibility to ensure that national, state or other laws to which you are subject to do not adversely affect your right to participate in the Competitions.
- You undertake to register for the Sites using accurate and current information about yourself including full name and a valid email address. You agree to only register one Account with us. You understand and agree that if you provide inaccurate information to us we will close your Account. If you are asked for and provide details of a credit, debit or charge card, you must ensure that (a) you are fully entitled to use that card, and (b) it has available funds sufficient to cover the charges that are deducted from it.
- If you provide materially misleading, inaccurate or incomplete information in your Account, we will be entitled to terminate your Account and cause you to forfeit any prizes you may have won as well as exercise any legal remedies we may have as a result of such conduct.
- You will not allow anyone else to use your login details or give them to anyone else. If you do, you accept full responsibility for the consequences of this and agree to fully indemnify and hold us harmless from any damage or harm that may result.
6. Competitions
- The number of entrants participating in a Competition and their relative skills determine the result of all Competition.
- Competition rules, scoring and guidelines can be found in the General Competition Rules accessible and in the specific Competition descriptions. Any questions or comments regarding this information should be sent to us by e-mail as indicated on the Sites.
7. Accounts
- We will not be liable to you for any loss that you may incur as a result of an unauthorised person accessing your Account and we accept no liability resulting from its unauthorised use, whether fraudulent or otherwise. As is usual, it is for you to ensure that your Accounts Password is kept completely secret.
- By opening an Account, you agree to allow us access to your Account to investigate complaints and/or other allegations of abuse.
- Where we have a serious and reasonable suspicion of fraudulent activity on an Account, we reserve the right to withhold the payment of Competition prize(s) to a Member until such suspicions are disproved.
8. Legality
- We may monitor the location from which you appear to access the Sites and, may use techniques which are intended to block access from any location in which participation in the Sites and/or the Competitions may be illegal or restricted as we may determine in our sole and absolute discretion from time to time. Accordingly, we may require a Member receiving any Competition prize to provide proof that he or she is eligible to participate and if we determine in our sole and absolute discretion that you are not eligible, we may refuse to award the Competition prize.
- You must comply with the laws which apply to you in the location you access the Competition(s) from. If any laws applicable to you restrict or prohibit your participation in the Competition(s), then you must comply with those legal restrictions.
9. Acceptable use
- You may use our Sites only for lawful purposes. You may not use our Sites:
- in any way that breaches any applicable local, national or international law or regulation;
- in any way that artificially or unfairly influences or manipulates the result of a Competition;
- in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect;
- to send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards in clause 10 below;
- to transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material;
- to knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.
- You also agree not to access without authority, interfere with, damage or disrupt:
- any part of our Sites;
- any equipment or network on which our Sites is stored;
- any software used in the provision of our Sites; or
- any equipment or network or software owned or used by any third party.
10. Content standards
- These content standards apply to any and all material you upload to or post on the Sites including the images and other content you upload as a result of creating or participating in a Competition, your comments in forums and online discussions and the content you include in your personal profile and your communications with other users (“Content”) and your use of the Sites.
- You must comply with the spirit of the following standards as well as the letter.
- Content must:
- be accurate (where they state facts);
- be relevant to the professional topics maintained by the GSC;
- not be promoting your own company or website;
- be genuinely held (where they state opinions);
- comply with applicable law in the UK and US and in any other country from which they are posted.
- Content must not:
- contain any material which is defamatory of any person, obscene, offensive, hateful or inflammatory;
- promote sexually explicit material, violence, promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
- infringe any copyright, database right or trade mark of any other person;
- be likely to deceive any person or made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence or promote any illegal activity;
- be threatening, abuse or invade another’s privacy, or cause annoyance, inconvenience or needless anxiety or be likely to harass, upset, embarrass, alarm or annoy any other person;
- be used to impersonate any person, or to misrepresent your identity or affiliation with any person or give the impression that they emanate from us, if this is not the case;
- advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.
- You are solely responsible for the Content and the consequences of posting or publishing it through our Sites. By uploading or posting Content to the Sites, you agree that:
- you own or have the necessary licenses, rights, consents, and permissions to use and authorise us to use Content in the manner contemplated by the Sites and these Terms of Use;
- you have the written consent, release, and/or permission of each and every identifiable individual person in the Content to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of the Content in the manner contemplated by this Sites and these Terms of Use;
- you recognise that the Content you post or upload to the Sites is available to other users of the Sites and potentially anyone in the World so you must take care as to what Content you post or upload;
- you have paid or will pay all royalties, fees, and any other monies owing to any person by reason of any Content posted or uploaded by you to or through the Sites.
11. Abuse of the Competitions
- Members may not use unfair methods to participate in the Competitions. Such techniques may include, but are not limited to, multiple Accounts (see Clause 7 above), the use of program codes or commands or any adapted hardware or software to assist participation, the impersonation of another Member, or deliberately losing Competitions for the purpose of getting a competitive advantage. Further, Members must not do anything that may cause a disruption or malfunction of the Competitions.
12. Alerting us
- If you see anything relating to the Competitions which appears to infringe these Terms, then please contact us to inform us of it by e-mail as indicated on the Sites.
13. Suspension and Termination
- Failure to comply with the acceptable use or content standards in these Terms of Use constitutes a material breach of the Terms of Use upon which you are permitted to use our Sites, and may result in our taking all or any of the following actions:
- immediate, temporary or permanent withdrawal of your right to use our Sites;
- immediate, temporary or permanent removal of any posting or material uploaded by you to our Sites;
- disqualification from any Competition and your right to claim any prize;
- issue of a warning to you;
- legal action against you including proceedings for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach;
- disclosure of such information to law enforcement authorities or third party complainants as we reasonably feel is necessary or required;
- disclosure of your identity to any third party who is claiming that any material posted or uploaded by you to our Sites constitutes a violation of their intellectual property rights, right to privacy or other legal rights.
- The responses described in this clause are not limited, and we may take any other action we reasonably deem appropriate.
14. Intellectual property rights
- This section on "14. Intellectual property rights" does not apply in relation to Competitions. Intellectual property rights information in relation to each Competition is contained in the General Competition Rules and in the description of that Competition.
- We do not claim any ownership rights in your Content. After posting your Content to the Sites, you continue to retain all ownership rights in such Content and you continue to have the right to use your Content in any way you choose. By posting any Content on or through the Sites, you hereby grant to us a perpetual, non-exclusive, sub-licensable and royalty free licence to use, modify, publicly perform, publicly display, reproduce, and distribute such Content.
- Save for the Content, we are the owner or the licensee of all intellectual property rights in our Sites and in the material published on it. Those works are protected by copyright laws and treaties around the world. You may use these rights and the material solely for the purpose of using the Sites and our service in accordance with these Terms of Use.
15. Our sites change regularly
- We aim to update our Sites regularly, and may change the content at any time. If the need arises, we may suspend access to our Sites, or close it indefinitely. Any of the material on our Sites may be out of date at any given time, and we are under no obligation to update such material.
16. Reliance on information
- We do not claim that the information on any specific subject contained on our Sites is accurate, comprehensive, verified, complete or error free. Commentary and other materials posted on our Sites are not intended to amount to advice on which reliance should be placed.
- We therefore disclaim all liability (whether arising in contract, tort or otherwise) and responsibility arising from any reliance placed by any user on materials and information available through our Sites.
17. Information about you and your visits to our sites
- We process information about you in accordance with our privacy policy. By using our Sites, you consent to such processing and you warrant that all data provided by you is accurate.
18. Viruses, hacking and other offences
- You must not misuse our Sites by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our Sites, the server on which our Sites is stored or any server, computer or database connected to our Sites. You must not attack our Sites via a denial-of-service attack or a distributed denial-of service attack.
- By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our Sites will cease immediately.
- We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our Sites or to your downloading of any material posted on it, or on any websites linked to it.
19. Linking to our sites
- You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.
- You must not establish a link from any websites that is not owned by you.
- Our Sites must not be framed on any other sites, nor may you create a link to any part of our Sites other than the home page. We reserve the right to withdraw linking permission without notice. The websites from which you are linking must comply in all respects with applicable local, national or international law, regulation and good industry practice.
- If you wish to make any use of material on our Sites other than that set out above, please contact us by e-mail as indicated on the Sites.
20. Links from our sites
- Where our Sites contain links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them.
21. Our liability
- Our Sites are provided on an “as is” basis. Accordingly, we hereby expressly exclude:
- all conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity;
- any and all liability (whether arising in contract, tort or otherwise) for any direct, indirect or consequential loss or damage incurred by any user in connection with our Sites or in connection with the use, inability to use, or results of the use of our Sites, any websites linked to it and any materials posted on it.
- this does not affect our liability for death or personal injury arising from our negligence, nor our liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, nor any other liability which cannot be excluded or limited under applicable law.
- We do not have any liability to pay Competition prizes which may potentially or otherwise have been won in an uncompleted Competition.
22. Jurisdiction and applicable law
- The English courts will have exclusive jurisdiction over any claim arising from, or related to, a visit to our Sites although we retain the right to bring proceedings against you for breach of these conditions in your country of residence or any other relevant country. These terms of use are governed by English law.
23. Variations
- We may revise these terms of use at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we make, as they are binding on you.
